Terms and Conditions

These Terms and Conditions (“Terms”) govern the use of the Indest Projects software-as-a-service platform (“Indest Projects”, “Service”) provided by:

By creating an account or purchasing a paid subscription, users agree to these Terms.

1. Scope

These Terms apply to all users of Indest Projects.

Indest Projects may be used by natural persons who have full legal capacity as well as by businesses, self-employed professionals and other organizations.

Where a user acts on behalf of a company or organization, the user confirms that they are authorized to accept these Terms on behalf of that organization.

2. Description of the Service

Indest Projects is a web-based project management platform that provides tools for planning, organizing and executing projects.

Depending on the selected plan, the Service may include functionality such as:

  • project management

  • project structure planning

  • project dependencies

  • Kanban boards

  • team management

  • resource management

  • requirements and goal management

  • risk management

  • file management

  • work packages

  • tasks and to-dos

The exact scope of functionality depends on the user's current subscription plan.

We may further develop, modify or improve individual functions of the Service provided that this does not unreasonably impair the core functionality of an active paid subscription.

3. User Accounts

A user account is required to use Indest Projects.

Users must provide accurate and complete information when creating an account.

The email address associated with the account must be verified before the account can be used.

Users are responsible for:

  • keeping their login credentials confidential

  • preventing unauthorized access to their account

  • ensuring that information associated with their account remains accurate

  • notifying us if they become aware of unauthorized access

Accounts may not be transferred, sold or made available to unauthorized third parties.

4. Free Plan

Indest Projects offers a free plan.

The Free Plan currently includes:

  • one project

  • project management

  • team management

  • project structure planning

  • project dependency planning

  • Kanban board functionality

Certain functionality, limits or features may differ from the paid plan.

We reserve the right to further develop or modify the scope of the Free Plan for future use.

5. Indest Pro

Indest Pro provides additional functionality.

The Pro Plan currently includes the functionality of the Free Plan as well as:

  • unlimited projects

  • resource management

  • file management

  • risk management

  • requirements and goal management

Additional functionality may be introduced over time.

6. Pricing

Indest Pro is currently available for:

Monthly subscription: €9.00 per month, excluding VAT.

Annual subscription: the applicable monthly price with a 10% discount when billed annually, excluding VAT.

Applicable VAT and other legally required taxes are added during checkout where required.

The final price, including applicable taxes, is displayed before the subscription is purchased.

If prices change, the new price will not apply retroactively to periods already paid for.

We will provide appropriate notice of price changes affecting future subscription periods.

7. Free Trial

New eligible users may receive a 7-day free trial of Indest Pro.

Unless the subscription is cancelled before the end of the trial period, the selected paid subscription will begin automatically and the applicable subscription fee will be charged through Stripe.

The applicable trial conditions are displayed when the subscription is started.

We may restrict free trials to one trial per user, organization or payment method where necessary to prevent misuse.

8. Payments

Payments are processed through Stripe.

Indest does not directly store complete payment card information.

Users may be redirected to Stripe-hosted interfaces for checkout, payment management, invoices and subscription management.

Users are responsible for providing valid payment information.

If a payment cannot be processed, we may restrict access to paid functionality until the outstanding payment has been resolved.

9. Subscription Term and Automatic Renewal

Paid subscriptions are concluded for the billing period selected by the user.

Monthly subscriptions renew automatically for another month.

Annual subscriptions renew automatically for another year.

Automatic renewal continues until the subscription is cancelled.

By purchasing a recurring subscription, the user authorizes Stripe and Indest to charge the applicable subscription fees for subsequent billing periods until cancellation.

10. Cancellation

Users may cancel an active subscription at any time through the Stripe subscription management interface made available through Indest Projects.

Cancellation takes effect at the end of the current paid billing period.

Until that date, the user retains access to the paid features of Indest Pro.

No further subscription period will be charged after the cancellation becomes effective.

This does not affect any mandatory statutory rights that may apply.

11. Downgrade to the Free Plan

After a paid subscription expires, the account will automatically be downgraded to the Free Plan.

The limitations of the Free Plan will then apply.

If the user has more projects than permitted under the Free Plan, access may be restricted to one project.

Additional projects and their associated data may remain stored but may no longer be accessible while the account is on the Free Plan.

Reactivating an eligible paid subscription may restore access to those projects, provided the data has not otherwise been deleted.

12. Customer Content and Ownership

Users retain ownership of the content they create, upload or otherwise provide through Indest Projects.

This may include:

  • project information

  • files

  • documents

  • comments

  • tasks

  • work packages

  • team information

  • resource information

  • other uploaded or entered content

By uploading or entering content into Indest Projects, users grant Indest the limited rights necessary to technically store, process, transmit, display and otherwise handle the content solely for the purpose of providing the Service.

Indest does not acquire ownership of customer content.

13. Responsibility for Customer Content

Users are responsible for the content they upload, create or process through Indest Projects.

Users must ensure that they have the necessary rights and legal basis to process such information.

This applies in particular to personal data relating to:

  • employees

  • contractors

  • customers

  • project participants

  • other third parties

Where Indest processes personal data on behalf of a customer, such processing may additionally be governed by a Data Processing Agreement pursuant to Art. 28 GDPR.

14. Acceptable Use

Users may not use Indest Projects to:

  • violate applicable laws or regulations

  • infringe intellectual property or privacy rights

  • upload malware or malicious code

  • attempt to gain unauthorized access to systems or accounts

  • attack, overload or interfere with our infrastructure

  • bypass technical restrictions or security mechanisms

  • scrape or automatically extract data without authorization

  • resell access without our permission

  • use accounts or credentials belonging to another person without authorization

  • perform reverse engineering except where expressly permitted by mandatory law

  • use Indest Projects for fraudulent or abusive purposes

15. Suspension and Termination of Accounts

We may temporarily suspend or restrict an account where reasonably necessary, particularly if:

  • these Terms are materially violated

  • the Service is used unlawfully

  • our infrastructure or other users are endangered

  • unauthorized access is suspected

  • payments are overdue

  • the account is used fraudulently or abusively

Where reasonably possible, we will inform the user before or promptly after such action.

In serious cases, we may terminate access to the Service.

Mandatory legal rights remain unaffected.

16. Availability of the Service

We aim to provide Indest Projects with a high level of reliability and availability.

However, unless expressly agreed otherwise in a separate Service Level Agreement, we do not guarantee a specific availability percentage.

The Service may temporarily be unavailable due to:

  • maintenance

  • updates

  • technical faults

  • security incidents

  • infrastructure failures

  • disruptions affecting third-party providers

  • circumstances outside our reasonable control

Planned maintenance will, where reasonably possible, be carried out in a manner intended to minimize disruption.

17. Updates and Changes to the Service

Indest Projects is continuously developed.

We may introduce new features, modify existing functionality or discontinue individual features where reasonably necessary.

For paid subscriptions, we will not materially remove the essential functionality of the purchased Service without reasonable justification.

Significant changes that materially affect the contractual relationship will be communicated where required.

18. Account Deletion

Users may delete their account through the account settings.

Deleting an account may permanently remove account-related information and customer content from our active systems.

Certain information may temporarily remain in technical backups until those backups are overwritten or deleted in accordance with our regular backup procedures.

Information may also be retained where required by law.

19. Data After Subscription Cancellation

Cancelling an Indest Pro subscription does not automatically delete the user's account or customer content.

Instead, the account is downgraded to the Free Plan after the paid period expires.

Data associated with projects that exceed Free Plan limitations may remain stored but inaccessible.

Users may permanently delete their account separately through the account settings.

20. Liability

Indest is liable without limitation for damages caused intentionally or through gross negligence.

We are also liable without limitation where required by law, particularly in cases involving injury to life, body or health.

In cases of slight negligence, we are liable only for breaches of material contractual obligations whose fulfillment is essential for the proper performance of the agreement and on which the user may normally rely.

In such cases, liability is limited to the foreseeable damage typical for this type of agreement.

To the extent permitted by law, liability for indirect or consequential damage, lost profits or loss of business opportunities is excluded where such damage was not foreseeable.

Mandatory statutory liability remains unaffected.

This kind of wording is safer than simply saying “Indest accepts no liability,” because German AGB law can invalidate provisions that unreasonably disadvantage the contractual partner.

21. Loss of Data

We implement reasonable technical measures intended to protect customer data.

However, no technical system can guarantee absolute protection against every failure, interruption or loss.

Our liability for data loss is subject to the limitations set out in Section 20.

Users should take appropriate precautions with particularly important information where reasonable.

22. Third-Party Services

Certain functionality of Indest Projects depends on third-party service providers.

These currently include, among others:

  • IONOS

  • Stripe

  • Brevo

  • Framer

We are not responsible for independent services provided by third parties outside the functionality controlled by Indest.

23. Intellectual Property

Indest Projects, including its software, design, branding, documentation and underlying technology, is owned by or licensed to Indest Group GmbH.

Users receive a limited, non-exclusive, non-transferable right to use Indest Projects for the duration of their account and applicable subscription.

No ownership rights in the Indest software are transferred to users.

24. Privacy and Data Protection

The processing of personal data is described in our Privacy Policy.

Where Indest processes personal data on behalf of a customer as a processor, a separate Data Processing Agreement (DPA) may apply.

25. Changes to These Terms

We may update these Terms where necessary due to:

  • changes to the Service

  • legal or regulatory requirements

  • security requirements

  • technical developments

  • changes to our business model

Material changes affecting an existing paid contractual relationship will be communicated within a reasonable period before they become effective where required.

26. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany.

Mandatory provisions of the law applicable to a user that cannot legally be excluded remain unaffected.

27. Jurisdiction

Where the user is a merchant, legal entity under public law or special fund under public law, the exclusive place of jurisdiction shall be the registered office of Indest Group GmbH.

Otherwise, the applicable statutory rules on jurisdiction apply.

28. Severability

If any provision of these Terms is or becomes invalid or unenforceable, the remaining provisions remain unaffected to the extent permitted by law.

The invalid provision shall be replaced by the applicable statutory provision.
